End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is entered into between Silicon Slopes IP, PLLC, a Utah professional limited liability company ("SSIP," "we," "us," or "our"), located at 1771 Oakridge Dr., Lehi, Utah 84043, and the authorized user accessing this Portal ("you," "User," or "Licensee").

"Portal" means the Silicon Slopes IP Practice Portal, including all associated web applications, APIs, edge functions, client-facing interfaces, and integrations hosted at siliconslopesip.com and its subdomains.

"QuickBooks Integration" means the connection between the Portal and Intuit Inc.'s QuickBooks Online accounting platform, operated through Intuit's API under Intuit's developer terms.

"Client Data" means any information about SSIP's clients, matters, intellectual property filings, financial records, communications, or other data entered into or processed by the Portal.

"Confidential Information" means all information that is, or should reasonably be understood to be, confidential, including Client Data, attorney-client privileged communications, attorney work product, financial data, and any information designated as confidential.

Subject to your compliance with this Agreement, SSIP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for the internal business operations of Silicon Slopes IP, PLLC. This license does not include the right to:

• Sublicense, sell, resell, transfer, assign, or commercially exploit the Portal or its contents
• Modify, translate, adapt, or create derivative works based upon the Portal
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive source code
• Access the Portal to build a competing product or service
• Use the Portal for any purpose other than SSIP's internal legal practice management

Access to the Portal is restricted to: licensed attorneys employed by or of counsel to SSIP; paralegals and legal assistants employed by SSIP; administrative staff authorized by SSIP; and SSIP clients, solely through the client-facing portal interface and only with respect to their own matters.

You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify SSIP at alexis@siliconslopesip.com if you suspect unauthorized access to your account.

4.1 Intuit Terms

Your use of the QuickBooks Integration is subject to Intuit's Developer Terms of Service, Intuit's Privacy Statement, and Intuit's QuickBooks Online Terms of Service, all available at intuit.com/legal.

4.2 Data Accessed

The Portal will access only the following categories of QuickBooks data, and only after you expressly authorize the connection:

• Invoice records and invoice line items
• Customer and vendor contact information
• Payment records and transaction history
• Account and financial document metadata

4.3 Data Use Restrictions

SSIP and VeriTek AI will:

• Use QuickBooks data only to provide Portal functionality for SSIP's internal operations
• Not sell, license, or otherwise commercially exploit QuickBooks data
• Not export QuickBooks data to third parties except as required by law or as expressly directed by an authorized SSIP administrator
• Not use QuickBooks data to train machine learning models or for purposes unrelated to Portal functionality

4.4 Data Storage

All data accessed from QuickBooks is stored and processed in the United States.

4.5 Disconnect and Termination

SSIP may disconnect the QuickBooks Integration at any time from the Portal's Settings page. Upon disconnection or termination, the Portal will immediately cease accessing QuickBooks data.

4.6 Intuit Privacy Standards

SSIP maintains data privacy standards at least as restrictive and protective as Intuit's Privacy Statement. Any unauthorized access, misuse, or unauthorized collection of QuickBooks data constitutes a material breach of this Agreement.

The Portal processes information that may constitute confidential client information protected by Utah Rule of Professional Conduct 1.6. Utah Rule 1.1 requires that licensed attorneys maintain competence in the technology they use in practice.

The Portal incorporates artificial intelligence features including automated drafting assistance, lead scoring, pre-consultation briefing generation, and document parsing. In compliance with Utah's 2025 AI transparency requirements:

• All AI-generated content within the Portal is labeled as a draft for attorney review
• No AI-generated content is delivered to clients without attorney review and approval
• Attorneys are responsible for reviewing and verifying all AI-generated output before reliance or delivery

SSIP and VeriTek AI implement commercially reasonable safeguards including:

• TLS 1.2 or higher for all data in transit
• Encryption at rest for all data stored in the Supabase database
• Role-based access controls
• Row-level security policies ensuring clients can only access their own matter information
• API key management through secure secrets management

No security system is impenetrable, and SSIP cannot guarantee absolute security of data.

You agree not to use the Portal to: violate any applicable law, regulation, or professional rule; access data belonging to other SSIP clients or matters to which you are not authorized; introduce malware or malicious code; circumvent authentication or access controls; harvest or systematically download Portal data; or use the Portal in any manner that could damage or impair its operation.

Active matter records are retained for the duration of the attorney-client relationship plus seven (7) years. QuickBooks synchronized data is retained for seven (7) years from the date of the underlying transaction. Signed engagement letters are retained permanently. Outreach and lead data is retained for two (2) years from last contact.

You may request deletion of data not subject to retention requirements by contacting alexis@siliconslopesip.com.

All rights in the Portal are owned by VeriTek AI or its licensors and are licensed to SSIP. Client Data entered into the Portal remains the property of SSIP and its clients. VeriTek AI acquires no ownership rights over Client Data.

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY UTAH LAW, SSIP AND VERITEK AI DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SSIP AND VERITEK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. SSIP's total aggregate liability shall not exceed the total fees paid in the twelve (12) months preceding the claim.

SSIP may terminate or suspend your access immediately, without notice, for any breach of this Agreement. Upon termination, the license granted under Section 2 will immediately cease. Sections 5, 8, 9, 10, 11, 13, and 14 survive termination.

This Agreement is governed by the laws of the State of Utah. Any dispute shall be brought exclusively in the state or federal courts located in Utah County, Utah.

This EULA, together with SSIP's Privacy Policy, constitutes the entire agreement between the parties regarding the Portal. SSIP may modify this Agreement at any time. Continued use following notice constitutes acceptance.
